Our Venture Capital & Private Equity practice includes
serial preferred stock and convertible loan financings on behalf
of both private equity funds, venture capital funds and angel investors
and emerging companies, including company formation, protection of intellectual
property and private placements (including those pursuant to Regulation
D and Regulation S). We perform
investor due diligence, prepare and review offering memoranda, and
draft and negotiate, restricted stock, voting, investors' rights,
stockholders' and registration rights agreements as well as, confidentiality
and non-competition agreements. We represent issuers, private
equity investors,
venture capitalists, institutional investors, placement agents,
lenders and all other parties involved in the financing of emerging
companies.
