Our Securities practice includes public offerings and private placements of equity, debt, and derivative securities on both a domestic and an international basis, as well as SEC compliance. Our attorneys have extensive experience in public offerings and private placements of securities, serve as counsel to issuers in a wide variety of industries (often introducing the issuer to the underwriters), as well as to regional and national investment banking firms. We have extensive experience in all aspects of the initial public offering process, including structuring and implementing pre-offering corporate reorganizations, conducting due diligence, designing and drafting officer, director and key employee stock option plans and other equity participation arrangements, counseling regarding the SEC registration process and compliance with state securities laws.
